A structured technical accounting memo that you can review on screen and download as an editable Word document. Each memo sets out the facts, the issues, the applicable guidance with ASC references, the analysis, and the conclusion, with journal entries where relevant. Any assumptions the analysis relies on are stated explicitly.

A chatbot drafts from whatever it finds. When it searches, it pulls fragments of long documents — a paragraph of a firm's guide, part of a Codification section — and a fragment read on its own can say something the full document does not. You can't see which fragments it relied on, and it has no second opinion.

Precedera's knowledge base is written for exactly this. Every entry is a complete, self-contained answer to one accounting question, with the ASC references and the position Precedera takes on the judgment it involves, so retrieving an entry on its own gives the writer the whole rule, not a piece of one. Precedera searches that library across multiple queries for each memo, drafts the analysis, and then a separate AI model from a different provider reviews the draft against the same facts and library; corrections are applied before delivery. Getting that from a chatbot would mean two separate conversations with two different products and reconciling the answers yourself.

The result is a structured memo with ASC references and stated assumptions, ready for your professional review. You can also upload one of your own memos as a template so the output follows your format.

Precedera covers U.S. GAAP only. Topic areas include revenue recognition, leases, business combinations, financial instruments, stock compensation, impairment, and debt and equity classification. Precedera will attempt questions outside these areas, but coverage is strongest within them.

No AI output is audit-ready. Precedera does the preparer's work and delivers a researched draft, and you are the reviewer. The memo you finalize after you verify the facts, guidance, and conclusions is what goes to your auditor.

A written description of the facts, plus up to five optional documents per memo, PDF or Word (.docx), 4 MB each. Related documents can go in together — an agreement and its amendment, or a purchase agreement and its disclosure schedule — and are read as one set of materials. You can run a memo from the written facts alone.

Yes. In Settings, upload one of your past memos as a Word document (.docx, up to 4 MB). Precedera reads its section headings, their order, and its heading numbering style, and keeps its page formatting: header, footer, margins, and heading styles. New memos follow that structure and download in that formatting. Precedera stores a copy of the file with the body text removed; the memo's text is processed once to read the structure, and the body text is not retained. You can have one template per account and replace or remove it at any time. Uploading a template does not use a memo, and without one, memos use Precedera's standard format. One known limit: if your memo formats its headings with custom styles rather than Word's built-in Title and Heading styles, the download uses standard heading styles in their place.

Your documents and inputs are used only to produce your memo and keep it available in your account. They are not used to train AI models. If you close your account or ask us to delete your data, we delete your account information and stored content within 30 days. Precedera's database is hosted on Supabase, and memo generation runs on Dify Cloud, hosted on Amazon Web Services. Each of those providers holds ISO 27001 certification and has completed a SOC 2 Type II examination. Precedera itself does not currently have its own ISO 27001 certification or SOC 2 report. Precedera provides a researched draft for professional review. Check that the facts are complete, the cited guidance applies, and the analysis and conclusions reflect your circumstances. Resolve assumptions and open questions before incorporating the memo into your accounting documentation or sharing it with your auditor.

Yes. Outsourced controllers, fractional CFOs, and CPA firms can use Precedera to prepare memos for their clients. What is not permitted is reselling or providing access to the Precedera service itself. See the Terms of Service.

No. Precedera is a research and drafting tool, and the conclusions in a finalized memo are the responsibility of the reviewing professional.

Every account starts with one free memo, Word download included, with no billing information required. The paid plan is $99/month and includes 15 memos, with additional memos at $15 each. Only completed memos count toward usage; failed or declined requests do not. Unused included memos do not roll over to the next month. You can cancel at any time: cancellation takes effect at the end of the current billing month, and you keep access until then.

Payments are non-refundable except where required by law. If you cancel, you keep access and any remaining included memos through the end of your billing period. If you think you've been charged in error, email support@precedera.com.
